The only exception that could permit modification to either the Universal NDA or CEII NDA terms would be in the case of “legal impossibility” (i.e., legal restriction that does not permit a party to enter into an agreement containing a particular term). If this is indeed the case, then (MISO MP OR MEMBER) would need to submit a request to MISO for consideration of “legal impossibility” (and only “legal impossibility”), and each such submission will then be reviewed on a case-by-case basis. Otherwise, (MISO MP OR MEMBER) will need to adhere to both the standard Universal NDA and CEII NDA templates.
